Welcome to Corsantic LTD (hereinafter referred to as "Corsantic," the "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Corsantic website, software, APIs, applications, AI services, hardware solutions, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
If you are using the Services for a business, you represent that you have authority to bind that business to these Terms.
2. Services
Corsantic provides AI infrastructure, software, artificial intelligence services, consulting, deployment, monitoring, hardware installation, and related enterprise technology solutions.
We may modify, improve, suspend, or discontinue any portion of the Services at any time.
3. User Accounts
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity occurring under your account.
- Providing accurate and current information.
- Promptly notifying us of unauthorized access.
You may not share your account with unauthorized users.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation.
- Infringe another person's intellectual property rights.
- Upload malicious software or code.
- Attempt unauthorized access to any system.
- Interfere with the operation or security of the Services.
- Circumvent usage limits or security measures.
- Reverse engineer the Services except where permitted by law.
- Use the Services to create or distribute unlawful, fraudulent, deceptive, defamatory, or harmful content.
- Use the Services to develop competing products by extracting or copying proprietary technology.
5. Customer Data
You retain ownership of all data, documents, prompts, and files you submit to the Services.
You grant Corsantic a limited license to process, store, transmit, and use that information solely as necessary to provide, maintain, secure, and improve the Services.
You represent that you have all necessary rights and permissions to upload any data provided to us.
6. AI-Generated Content
Our Services may generate recommendations, analyses, code, summaries, or other outputs using artificial intelligence.
AI-generated outputs:
- May contain inaccuracies or omissions.
- Should be independently reviewed before use.
- Are provided for informational purposes.
- Do not constitute legal, financial, accounting, engineering, medical, or other professional advice.
You are responsible for reviewing and validating any AI-generated output before relying on it.
7. Confidential Information
Each party agrees to protect confidential information received from the other party using reasonable safeguards and to use such information only for purposes related to providing or using the Services.
This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from another source.
8. Intellectual Property
Corsantic and its licensors retain all rights, title, and interest in the Services, including all software, models, documentation, branding, trademarks, and other intellectual property.
Except as expressly permitted in these Terms, no rights are granted to you.
9. Fees and Payment
Certain Services require payment.
Unless otherwise agreed in writing:
- Fees are due according to the applicable invoice or subscription.
- Fees are non-refundable except where required by law.
- Late payments may incur interest or result in suspension of Services.
- Taxes are the responsibility of the customer unless otherwise stated.
10. Hardware Services
Where Corsantic supplies or installs hardware:
- Delivery dates are estimates.
- Customers are responsible for providing a suitable installation environment, including power, cooling, and network connectivity.
- Hardware warranties are limited to those provided by the manufacturer unless otherwise agreed in writing.
- Ongoing maintenance is provided only under an active maintenance agreement.
11. Service Availability
We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Maintenance, upgrades, third-party failures, or events beyond our reasonable control may affect availability.
12. Third-Party Services
The Services may integrate with or rely upon third-party software, cloud providers, authentication services, payment processors, or AI providers.
Corsantic is not responsible for the availability, accuracy, or performance of third-party services.
13. Security
We implement reasonable administrative, technical, and organizational safeguards to protect customer information.
However, no system is completely secure, and you acknowledge that use of internet-based services carries inherent risks.
14. Suspension and Termination
We may suspend or terminate access to the Services if you:
- Violate these Terms.
- Engage in unlawful activity.
- Fail to pay applicable fees.
- Present a security risk.
- Misuse the Services.
You may stop using the Services at any time.
Termination does not relieve either party of obligations that survive termination, including payment obligations and provisions relating to confidentiality, intellectual property, disclaimers, limitations of liability, and indemnification.
15. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORSANTIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED OUTPUTS WILL BE COMPLETE OR ACCURATE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORSANTIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO CORSANTIC FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
17. Indemnification
You agree to defend, indemnify, and hold harmless Corsantic, its affiliates, directors, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your infringement of any third-party rights.
- Data or content you upload or submit.
18. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Unless otherwise required by applicable law, any disputes shall be resolved exclusively in the courts located in Ontario, Canada.
19. Changes to These Terms
We may modify these Terms from time to time.
Updated Terms become effective when posted on our website.
Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
